Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and SongBoard LLC ("SongBoard", "we", "us", "our"). They govern your access to and use of:
- https://songboard.app and any related websites (the "Site")
- the SongBoard web app (the "Web App")
- the SongBoard iOS app
- the SongBoard Android app
- and any related products, services, features, content, and support (collectively, the "Services")
SongBoard is an event planning portal designed for DJs, hosts, and vendors to collaborate on event timelines, music preferences, song requests, and event details.
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Eligibility
You must be at least 18 years old to create an account and use the Services. If you are using the Services on behalf of a business or organization, you represent that you are authorized to bind that entity to these Terms.
2) Accounts and registration
You may need to create an account to use SongBoard. You agree to:
- provide accurate, current information
- keep your login credentials confidential
- be responsible for activity under your account
We may remove, reclaim, or change usernames that are inappropriate, misleading, or violate these Terms.
3) The Services
SongBoard provides tools for creating and managing events, timelines, cards/sections, planning questions, notes, song requests, and collaboration between DJs, hosts, and vendors.
We may add, remove, or change features at any time. We do not guarantee that any particular feature will always be available.
SongBoard is not tailored to comply with industry-specific regulations (such as HIPAA, FISMA, or GLBA). Do not use the Services in ways that would require such compliance.
4) Tempo AI and AI features
SongBoard may offer AI features, including Tempo.
You understand and agree:
- AI output can be inaccurate or incomplete.
- You are responsible for reviewing AI output before relying on it.
- Some AI features may use third-party AI model providers to generate results.
- For certain changes, SongBoard may require an approval step before an AI action is applied.
SongBoard does not provide legal, financial, medical, or professional advice.
5) Subscriptions, billing, and payments
SongBoard may offer free and paid plans.
If you purchase a paid plan:
- you authorize us (and our payment processor) to charge your payment method for recurring fees, taxes, and any applicable charges
- subscriptions automatically renew unless you cancel
- cancellation takes effect at the end of the current billing period
We may change pricing from time to time and will provide notice where required by law.

6) User content and event data
A. Your content
You may upload or submit content through the Services ("User Content"), including event timelines, notes, questions, messages, images, files, and song lists.
You retain ownership of your User Content.
You are responsible for your User Content, including ensuring you have the rights to upload and share it.
B. Permission to operate the Services
You grant SongBoard a limited license to host, store, process, transmit, and display your User Content solely to operate and improve the Services, provide features you request, and enable collaboration you initiate (for example: inviting hosts/vendors to an event).
C. Sharing and collaboration
When you invite someone to a workspace or event, you understand they may be able to view (and depending on permissions, edit) the event content you share.
7) Acceptable use and prohibited activities
You agree not to misuse SongBoard or help anyone else do so.
Examples of prohibited activity include:
Security and access abuse
- attempting to access another user's account or data without permission
- probing, scanning, or testing the vulnerability of our systems
- bypassing authentication or access controls
- interfering with security-related features or rate limits
Harmful or disruptive behavior
- uploading malware, viruses, or harmful code
- spamming or sending repeated unsolicited messages
- overloading, scraping, or disrupting the Services or infrastructure
- using bots/scripts to automate actions in a way that harms the Services or other users
Data scraping and unauthorized extraction
- systematically extracting data or content from SongBoard (including events, user lists, or content) without written permission
- using scraping tools, crawlers, or automated extraction to build datasets from SongBoard
Fraud, deception, and impersonation
- impersonating SongBoard, SongBoard staff, or another user
- misrepresenting your identity to gain access to an event or workspace
- submitting false abuse reports or support requests
Illegal use
- using the Services for unlawful purposes
- violating applicable laws, regulations, or third-party rights
Competing and resale misuse
- using SongBoard to build a competing product or service
- reselling access to SongBoard without our written permission
AI misuse
- attempting to force Tempo or other AI features to generate content that is illegal, harmful, or violates these Terms
- using AI outputs to harass or defraud others
- using AI features in a way that violates privacy rights or data protection laws
We may suspend or terminate accounts that violate these rules.
8) Intellectual property
SongBoard owns (or licenses) the Services, including the software, design, branding, logos, and all related intellectual property rights.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Services unless permitted by law or with our written permission.
9) Third-party services and links
SongBoard may integrate with or link to third-party services (for example, Spotify or other platforms). Your use of third-party services is governed by those providers' terms and policies. SongBoard is not responsible for third-party services, content, or availability.
9A) Apple App Store terms
If you download or use the SongBoard iOS app from the Apple App Store, you also acknowledge and agree that:
- these Terms are between you and SongBoard LLC, not Apple
- Apple is not responsible for the Services, app support, maintenance, warranty, claims, or legal compliance
- your use of the iOS app must comply with the Apple Media Services Terms and Apple's applicable App Store rules
- to the extent Apple has any obligation under applicable law, Apple's responsibility is limited to refunding the purchase price, if any, for the iOS app
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms as they relate to the iOS app and may enforce those terms against you
10) Privacy
Our Privacy Policy explains how we collect and use information. By using SongBoard, you agree to our Privacy Policy.

11) Copyright complaints (DMCA)
If you believe content on the Services infringes your copyright, email support@songboard.app with:
- your contact information
- identification of the copyrighted work
- identification of the allegedly infringing content (with enough detail to locate it)
- a statement that you have a good faith belief the use is not authorized
- a statement under penalty of perjury that your notice is accurate and you are authorized to act
- your physical or electronic signature
12) Termination
You may stop using the Services at any time.
We may suspend or terminate your access to the Services (or delete your account) if:
- you violate these Terms
- we believe your use creates risk or legal exposure
- we are required to do so by law
If your account is terminated, you may not create a new account to bypass enforcement.
13) Service changes and availability
We work hard to keep SongBoard available, but we do not guarantee uninterrupted service.
We may experience downtime, maintenance, outages, or feature changes. SongBoard is provided "as is" and "as available."
14) Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONGBOARD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SONGBOARD DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
15) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONGBOARD AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONGBOARD'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO SONGBOARD FOR THE SERVICES IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you.
16) Indemnification
You agree to defend, indemnify, and hold harmless SongBoard LLC and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- your use of the Services
- your User Content
- your violation of these Terms
- your violation of any law or third-party rights
17) Governing law
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law rules.
18) Dispute resolution
Informal resolution
Before filing a claim, you agree to contact us at support@songboard.app and attempt to resolve the dispute informally for 30 days.
Arbitration
If the dispute is not resolved informally, you and SongBoard agree to resolve disputes through binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules.
YOU UNDERSTAND YOU ARE WAIVING THE RIGHT TO A JURY TRIAL.
Exceptions
Either party may seek injunctive or equitable relief in court to protect intellectual property or prevent unauthorized access or misuse.
Class action waiver
You agree disputes will be brought only on an individual basis. You waive any right to participate in a class action or class arbitration.
19) Electronic communications
By using SongBoard, you consent to receive communications electronically (email, in-app notices, or through the Site). You agree these communications satisfy legal requirements for written notice.
20) SMS messaging (if offered)
If SongBoard offers SMS messaging:
- Message and data rates may apply.
- You can opt out by replying STOP.

21) California residents

22) Miscellaneous
- If any part of these Terms is found unenforceable, the rest remains in effect.
- We may assign these Terms as part of a merger, acquisition, or business transfer.
- Our failure to enforce a provision is not a waiver.
- These Terms are the entire agreement between you and SongBoard regarding the Services.
