These Terms of Service ("Terms") are a legally binding agreement between you and SongBoard LLC ("SongBoard", "we", "us", "our"). They govern your access to and use of:
SongBoard is an event planning portal designed for DJs, hosts, and vendors to collaborate on event timelines, music preferences, song requests, and event details.
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

You must be at least 18 years old to create an account and use the Services. If you are using the Services on behalf of a business or organization, you represent that you are authorized to bind that entity to these Terms.
You may need to create an account to use SongBoard. You agree to:
We may remove, reclaim, or change usernames that are inappropriate, misleading, or violate these Terms.
SongBoard provides tools for creating and managing events, timelines, cards/sections, planning questions, notes, song requests, and collaboration between DJs, hosts, and vendors.
We may add, remove, or change features at any time. We do not guarantee that any particular feature will always be available.
SongBoard is not tailored to comply with industry-specific regulations (such as HIPAA, FISMA, or GLBA). Do not use the Services in ways that would require such compliance.
SongBoard may offer AI features, including Tempo.

SongBoard does not provide legal, financial, medical, or professional advice.
SongBoard may offer free and paid plans.
If you purchase a paid plan:
We may change pricing from time to time and will provide notice where required by law.

You may upload or submit content through the Services ("User Content"), including event timelines, notes, questions, messages, images, files, and song lists.
You retain ownership of your User Content.
You are responsible for your User Content, including ensuring you have the rights to upload and share it.
You grant SongBoard a limited license to host, store, process, transmit, and display your User Content solely to operate and improve the Services, provide features you request, and enable collaboration you initiate (for example: inviting hosts/vendors to an event).
When you invite someone to a workspace or event, you understand they may be able to view (and depending on permissions, edit) the event content you share.
You agree not to misuse SongBoard or help anyone else do so.

We may suspend or terminate accounts that violate these rules.
SongBoard owns (or licenses) the Services, including the software, design, branding, logos, and all related intellectual property rights.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Services unless permitted by law or with our written permission.
SongBoard may integrate with or link to third-party services (for example, Spotify or other platforms). Your use of third-party services is governed by those providers' terms and policies. SongBoard is not responsible for third-party services, content, or availability.

You may stop using the Services at any time.
We may suspend or terminate your access to the Services (or delete your account) if:

We work hard to keep SongBoard available, but we do not guarantee uninterrupted service.
We may experience downtime, maintenance, outages, or feature changes. SongBoard is provided "as is" and "as available."
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONGBOARD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SONGBOARD DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONGBOARD AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONGBOARD'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO SONGBOARD FOR THE SERVICES IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you.
You agree to defend, indemnify, and hold harmless SongBoard LLC and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law rules.
Before filing a claim, you agree to contact us at support@songboard.app and attempt to resolve the dispute informally for 30 days.
If the dispute is not resolved informally, you and SongBoard agree to resolve disputes through binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules.
YOU UNDERSTAND YOU ARE WAIVING THE RIGHT TO A JURY TRIAL.
Either party may seek injunctive or equitable relief in court to protect intellectual property or prevent unauthorized access or misuse.
You agree disputes will be brought only on an individual basis. You waive any right to participate in a class action or class arbitration.
By using SongBoard, you consent to receive communications electronically (email, in-app notices, or through the Site). You agree these communications satisfy legal requirements for written notice.
